Huhtamäki Oyj option rights

The Annual General Meeting of Shareholders held on March 27, 2006 approved the Option Rights 2006 Plan. The following option rights entitle to subscribe for shares in 2013.

Huhtamaki 2006 C

- Number of shares one option right entitles to subscribe for: 1
- Subscription price for one share: EUR 5.10
- Subscription period: April 1, 2011 - April 30, 2014 *

* The subscription period shall be annually between January 2 and November 15 on such days as defined by the company.

Subscription for shares

In order to subscribe for new shares, the subscription form should be filled in and returned to Huhtamäki Oyj, Group Legal Department, Miestentie 9, 02150 Espoo, Finland by the subscription date. The subscription price should be transferred to Huhtamäki Oyj's bank account No. 159030-27670 at Nordea Bank, Finland by the subscription date. The aggregate subscription price must be received in Euros net of any banking charges etc.

The shares subscribed shall entitle to the distribution of dividends of Huhtamäki Oyj as of the registration of the corresponding increase of the share capital. The right to vote and other shareholders' rights attached to the shares subscribed shall become effective as of the registration of the increase of the share capital.

Under the Companies Act, Huhtamäki Oyj shall be obliged to notify the Finnish Trade Register of the increase in the share capital. This means that the shares subscribed based on option rights will not be regarded eligible for public trade before the registration. The increase in the share capital shall be registered with the Finnish Trade Register within 3-4 weeks from the subscription date. The shares subscribed will be eligible for trade on the following trading day from the registration.

Subscription dates for 2013:

The subscription dates for shares with Huhtamäki Oyj's option rights 2006 C in 2013 will be the following:

- Monday February 18, 2013
- Monday March 11, 2013
- Monday May 6, 2013
- Wednesday June 19, 2013
- Wednesday August 21, 2013
- Wednesday September 18, 2013
- Monday October 28, 2013
- Friday November 15, 2013.
